Executive summary
- The European Commission cleared Tenaris’s purchase of 100% of Romanian tube maker Artrom Steel Tubes on 13 October, finding no competition concerns under the EU Merger Regulation (case M.12428).
- Tenaris agreed in May to buy Artrom from GLGH Steel, a US company, for €86 million on a cash-free, debt-free basis. Romanian government approvals are still needed, and Tenaris has said it expects to close in the fourth quarter of 2026.
- Artrom can make about 450,000 t of steel a year at Reșița and roll up to 200,000 t of seamless pipe a year at Slatina.
- For buyers of seamless and mechanical tubes in Europe, the deal brings a Romanian seamless mill into a group focused on energy tubes and leaves one fewer independent European supplier.

What happened
On 13 October the European Commission approved Tenaris’s acquisition of sole control of Artrom Steel Tubes. According to the Commission’s notice, reproduced by IEU Monitoring, the deal mainly concerns the manufacture of steel tubes and does not raise competition concerns, because credible competitors would keep supplying customers in the markets where the two companies are active. It was examined under the normal merger review procedure.
The parties’ summary of the notification, published by the Commission, describes Tenaris as a Luxembourg-registered maker of steel tubes and related services for oil and gas and industrial uses, ultimately controlled by San Faustin. Artrom, based in Slatina, makes steel tubes for industrial uses and was controlled by Great Lakes Global Holdings. The deal is a purchase of shares.

Advertise with LoharoTenaris announced the agreement on 8 May. In its release, also filed with the US SEC, the company said it would buy 100% of Artrom from GLGH Steel for €86 million, cash-free and debt-free and including a normal level of working capital. The deal still needs Romanian government approvals; Tenaris said it expected closing in the fourth quarter of 2026. It gave Artrom’s capacity as about 450,000 tonnes of steel a year at Reșița and up to 200,000 tonnes of seamless pipe rolling a year at Slatina, and said the purchase would widen its range of industrial pipe and strengthen its position with European industrial customers.
The trade association EUROMETAL noted that Tenaris has owned TenarisSilcotub, a seamless pipe maker in Romania, since 2004. It also traced Artrom’s recent owners: Serbia-based Hefestos Capital bought what was then TMK Artrom from TMK Europe, the German arm of Russia’s TMK, in December 2022 and renamed it, and GLGH Steel bought it from Hefestos last year.
Why it matters for steel buyers
Analysis Artrom has been an independent supplier of seamless tube for mechanical, boiler, hydraulic and automotive uses. Under Tenaris it joins a group whose main business is tubes for oil and gas. Tenaris has said it wants the deal for European industrial customers, so buyers may get a bigger catalogue and stronger service, but also one fewer independent mill to play against the market leader when they negotiate.
Analysis The deal gives Tenaris a melt shop and a seamless mill in one step. With EU tariff quotas cutting import volumes and melt-and-pour proof now required (see our guide to the quota regime), tube made from EU-melted steel is easier to sell into Europe than imported hollows or tube. Integrated EU capacity like Reșița–Slatina is worth more under these rules than it was two years ago.
Analysis The price is modest for the tonnage, roughly €190 per tonne of steelmaking capacity, which suggests the buyer is paying for an existing asset rather than for strong current earnings. We do not have Artrom’s recent results to test this.
Who is affected
- Buyers of seamless mechanical, boiler and hydraulic tube in Europe: one supplier changes owner, with possible changes to price lists, minimums and sales channels after closing.
- Stockists and tube distributors: may see Artrom product move into Tenaris’s own distribution and service network.
- Competing European seamless mills: face a larger, integrated competitor in industrial tube.
- Romanian scrap suppliers and Reșița customers for billets: the melt shop’s output may be redirected to Tenaris’s own mills.

What to watch
- Romanian approvals: the remaining condition before closing.
- Closing in Q4 2026: whether Tenaris confirms completion by the end of the year.
- Commercial changes: any change to Artrom’s product range, brands, distributors or export markets once Tenaris takes over.
- Investment plans: whether Tenaris sets out spending at Reșița or Slatina.
