What happened

thyssenkrupp said on 21 October that BaFin had approved the securities prospectus of tk accelis Group AG & Co. KGaA and that it plans the first listing in the Prime Standard of the Frankfurt Stock Exchange on 28 October. The spin-off of a minority stake will take effect when it is entered in the commercial registers just before trading starts. thyssenkrupp shareholders will receive one tk accelis share for every 20 thyssenkrupp shares, free of charge, based on holdings on the spin-off date, currently set for 27 October. Fractional entitlements will be sold, and holders of thyssenkrupp ADRs will generally receive cash.

The spin-off gives 49% of tk accelis to thyssenkrupp shareholders, and thyssenkrupp keeps 51% as strategic majority shareholder. The shares will trade under ISIN DE000TKCC1S8. Shareholders approved the spin-off at an extraordinary general meeting on 7 August. CEO Miguel López said the listing would let shareholders “participate directly in the development of tk accelis” and give the business more room to act.

Dow Jones, in a report carried by Tradegate, said the 28 October date keeps to the end-October timetable the group set in August, and that thyssenkrupp will continue to consolidate tk accelis. It noted that thyssenkrupp listed its marine business TKMS and its hydrogen business thyssenkrupp nucera in a similar way. The IPO calendar published the same day lists the listing as a spin-off of a 49% minority stake (both in German; our translation).

The business

According to thyssenkrupp, tk accelis is one of the world’s leading materials distributors and supply chain service providers that are independent of producers. By sales it is the market leader in Germany and Europe and the third-largest supplier in North America. At the time of the August vote it had about 400 locations in more than 30 countries, some 250,000 customers and about 11,000 suppliers. Sales in fiscal 2024/25 were €11.4 billion with adjusted EBIT of €132 million. In January–March 2026 sales rose 5% to €3.2 billion and adjusted EBIT rose 179% to €81 million. The company is shifting from warehousing towards processing, supply chain management and digital services, which it says should make margins less dependent on material prices. Dow Jones reported medium-term targets of more than 4% annual sales growth and an adjusted EBITDA margin of 4–5%.

Why it matters for steel buyers

Analysis tk accelis buys steel from many mills, including competitors of thyssenkrupp Steel, and sells to a very large number of small and mid-sized users. As a listed company it will report and be judged on its own, and its margins are thin: about 1.2% adjusted EBIT on 2024/25 sales. The push into processing and services is meant to make earnings less dependent on steel prices. Buyers can expect more emphasis on service contracts and processing fees alongside the price of the steel itself.

Analysis The listing also continues the break-up of thyssenkrupp into separately run businesses. The steel division set out its own targets at its Capital Markets Day in September. Distribution and steelmaking are now on separate tracks, and that may change how tk accelis buys from its former sister mill in a European market where import quotas already limit supply (see our Q4 outlook).

Who is affected

  • Steel and metals buyers using tk accelis: no immediate change to supply, but more focus on services and margins over time.
  • European steel mills: the region’s largest stockist will answer to outside shareholders as well as thyssenkrupp.
  • Competing distributors: a listed peer will publish its figures, making price and margin comparisons easier.
  • thyssenkrupp shareholders: receive tk accelis shares automatically on 27 October.
